Terms of Service

These Terms of Service ("Terms") govern your use of the Clienta.ai platform operated by Clienta.ai ("we", "us", "our"). By creating an account or using our services, you agree to these Terms.

1. Definitions

  • "Service" means the Clienta.ai AI customer support platform, including the web application, API, chat widget, and all related features.
  • "Account" means your registered Clienta.ai account and associated organization.
  • "Content" means documents, data, messages, and other materials you upload or generate through the Service.
  • "End Users" means your customers or visitors who interact with your AI chatbot powered by Clienta.ai.
  • "Plan" means the subscription tier you select (Free, Starter, Growth, Pro, or Enterprise).

2. Account Registration

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials and for all activities under your account. Notify us immediately at support@clienta.ai if you suspect unauthorized access.

You must be at least 20 years of age (or the age of majority in your jurisdiction) to use the Service.

3. Subscriptions and Billing

Plans and Pricing

We offer a free plan and paid subscription plans. Current pricing is available at clienta.ai/pricing. Paid plans are billed monthly or annually. Annual plans receive a 10% discount.

Usage Limits

Each plan includes message, document, and channel limits. When you exceed your message quota, overage charges apply at your plan's per-message rate. The Free plan has a hard message limit with no overage billing.

Payment

We accept payment via Stripe (credit/debit card, international) and Omise (PromptPay, Thailand). You authorize us to charge your selected payment method for subscription fees and applicable overage charges.

Plan Changes

You may upgrade or downgrade your plan at any time from your dashboard. Upgrades are prorated and take effect immediately. Downgrades take effect at the end of your current billing period. Excess channels will be disabled upon downgrade.

Cancellation

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of your current billing period. Your data remains available for export for 30 days after cancellation.

Refunds

Subscription fees are non-refundable, except where required by applicable law. If you experience a service issue, contact us and we will work to resolve it or provide a credit at our discretion.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to our systems or other users' data
  • Use the AI chatbot to generate misleading, fraudulent, or deceptive content
  • Circumvent usage limits, rate limits, or security measures
  • Resell or redistribute the Service without an authorized partnership agreement
  • Upload content that infringes on third-party intellectual property rights

We reserve the right to suspend or terminate accounts that violate these terms.

5. Your Content

You retain ownership of all Content you upload to the Service. By uploading Content, you grant us a limited license to process, store, and use it solely to provide the Service to you.

You are responsible for ensuring you have the right to upload your Content and that it complies with applicable laws. We do not use your Content to train AI models.

You are responsible for how your team configures AI behavior, including guardrails, greeting messages, and knowledge base content.

6. AI-Generated Responses

Clienta.ai uses AI language models to generate responses based on your knowledge base. While we implement guardrails to keep responses accurate and on-topic, AI-generated content may occasionally be inaccurate or incomplete.

You are responsible for reviewing and monitoring AI responses to your end users. The live agent handoff feature allows your team to intervene when human judgment is needed.

7. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform scheduled maintenance with advance notice. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, network failures, or force majeure events.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by Clienta.ai and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You may not copy, modify, reverse-engineer, or create derivative works of the Service.

9. Data Protection

We process personal data in accordance with our Privacy Policy and the Thailand PDPA. When you use Clienta.ai to process your end users' data, you act as the Data Controller and we act as the Data Processor.

Enterprise and Growth customers may request a Data Processing Agreement (DPA) by contacting privacy@clienta.ai.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
  • We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption.
  • We are not liable for the accuracy, completeness, or appropriateness of AI-generated responses.

11. Indemnification

You agree to indemnify and hold harmless Clienta.ai from any claims, damages, or expenses arising from: (a) your use of the Service in violation of these Terms; (b) Content you upload that infringes third-party rights; or (c) your end users' interactions with your AI chatbot.

12. Termination

Either party may terminate these Terms at any time. You may terminate by canceling your subscription and closing your account. We may terminate or suspend your access if you violate these Terms, with notice where practicable.

Upon termination, your right to use the Service ceases. Data export and deletion follow the timelines in our Privacy Policy (30 days for export, 60 days for full deletion).

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on our website at least 30 days before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Bangkok.
